This deed of declaration of Trust made at Darbhanga on 10th day of November, 2012 by Mr. Md. Lahta P.S. III. IV. V. X.
Real humanity is a stunning trust for believing in humanity in terms of helping poor people, handicapped, patient, natural disaster surviving people, struggling people, students, and the person who really want to achieve his/her goal. AND WHEREAS the Settlor is desirous of creating a Social Welfare Trust herei
n after called the Haji Mohammad Mohiuddin Social Welfare Trust for the purpose of carrying out Social Welfare work in the field of education, medicines, help and assistance to widows, orphans, poor and under privileged members of the society including assistance to educational and medical institutes, organizations and others carrying on charitable work. AND WHEREAS the Settlor has contributed Rs10, 000/- and the amount has been vested in the trust. NOW THIS TRUST DEED WITNESSETH AS UNDER
I. NAME OF THE TRUST: The Trust shall be called HAJI MOHAMMAD MOHIUDDIN SOCIAL WELFARE TRUST
II. OFFICE OF THE TRUST: The Registered Office of the Trust shall be Mr. Manigachhi ,Distt- Darbhanga, Bihar, 847423 or at any other place as the Board of Trustees may decide from time to time. AREA OF OPERATION: The Trust shall function all over India. The Trustees may open one or more branches at any other place in India. The Trust shall be a non-political, a non-religious and a charitable trust. BENEFICIARIES: The trust shall be for the benefit of the needy persons irrespective of cost, creed, religion or s*x. However, the beneficiary shall not have any legal claims, rights or interest in the trust or its assets except receiving the benefits under the rules. VI. AIMS AND OBJECTIVES: The Trust and its members will work for the upliftment of Poor and the weaker section with Particular reference to the following:
1 To Promote Social awareness, educational and cultural empowerment of the weaker section and downtrodden people in particular and others in general.
2. To open, arrange, establish and look after Nursery, Primary School and Orphanages for boys and girls Secondary and Higher Secondary Schools for the development and advancement of education amongst the poor people of the society.
3. To establish technical job oriented courses like Polytechnics and other technical institutions for the development and advancement of poor people of the society.
4. To start and run the courses of Computer Sciences, information technology courses and Business Management / Hotel and Catering Management courses.
5. To open, arrange and establish the paramedical courses and pharmacy colleges, Teachers Training Colleges and various Vocational Training Colleges / Institutions.
6. To open, arrange and establish Medical Colleges, Dental Colleges and Engineering Colleges.
7. To establish Book Banks, Libraries and reading rooms and to give loans, scholarships and other assistance to intelligent and poor students.
8. To start coaching centers of different competitive examinations / tests for poor students and needy persons.
9. To organize the training centre for traditional industries, modern industries and electronic industries including solar energy in rural and urban areas (JJ and slums) and to train the children and women for the welfare and prosperity.
10. To work in an organized way to alleviate the sufferings of economically weaker sections of the society especially in the events of national and natural calamities like war, floods, droughts, earthquake, epidemic disease or in the events of fire and famine, cyclone, accident and communal riots etc.
11. To work for tribal development and also to promote social, economical, educational and cultural development of schedule castes, schedule tribes, other backward classes and downtrodden people of the society.
12. To establish relief and rehabilitation centers and also provide free food for very poor and needy people of the society.
13. To develop rural and J.J./slums areas roads, irrigation facilities in rural/ urban areas and also to provide clean drinking water facilities through hand pumps, wells or bore wells to weaker section people especially in rural and rustic areas / J.J. and slum areas and also to built low cost housing, sanitations, schools for the poor people of the society.
14. To give the legal aid under the human rights to the person who is affected any type of violence/ problem especially for women.
15. To undertake various social service activities in tribal and other economically backward areas for the round development there and hasten their emotional and spiritual integration.
16. To work for water land development / water shed conservation and management in water shed prone areas and to arrange facilities, ways and means to improve agricultural / irrigational facilities.
17. To start plantation programme, environmental programmes, biogas plant, non conventional energy programme.
18. To create and promote employment opportunities in rural and urban areas especially J.J. and slum areas and to organize vocational training cm production centre for the rehabilitation of widows, divorcee, orphans and riot affected people. And also to start trade centre of different categories for better prospect / employment opportunities within country / outside the country.
19. To act in collaboration with central and state governments and other appropriate agencies for formulation and ex*****on of projects, programmes and schemes of integrated rural development and to accept necessary grants or funds for the aforesaid purpose.
20. To collaborate with other institutions, associations and societies in India or abroad interested in similar objectives.
21. Securing and managing funds for the furtherance of the Trust objects.
22. To develop disciplinary conduct and a habit to observe the rule of law and self restraint.
23. The Trust will do all acts and deeds which are necessary to conduct the attainment of the Trust. MANAGEMENT OF THE TRUST
VII. BOARD OF TRUSTEES: All the life trustees shall collectively constitute the Board of Trustees with the settler as its chairman for life. The Board of Trustees shall be the custodian of all the properties whether movable or immoveable of the Trust and in matters of property and finance, it may veto the decision of the Executive Committee. The meeting/ emergency meeting of the Board of Trustees shall be called and presided over by the Chairman. The Board of Trustees shall meet at least once in a year to review and supervise the functions / work of the executive committee and shall have power to recommend changes for the consideration of the Executive Committee. The Board of Trustees shall comprise of not less than three and not more than five trustees including the chairman. The above mentioned four trustees shall be Founder Trustees and shall be called the Board of Trustees. There shall be called a Chairman and another member as the Trustees and shall hold office for life. The following shall constitute the first Board of Trustees:-

In the event of vacancy of the Life Trustees caused by death, resignation or otherwise, the remaining the life trustees shall elect a person who is otherwise eligible to be enrolled as member of the trust as Life Trustees by simple majority for the life trustees present and voting in a meeting especially called for the purpose. The quorum for the meeting of Board of Trustees shall be one third. The Chairman shall have a casting vote, in case of tie. There are only four life trustees. However, if the Chairman is of the view that services of above persons(s) is required or essential of better management of the Trust, he/she can nominate such person(s) as life trustee(s) after consultation from Board of Trustees. VIII. MEMBERSHIP OF THE TRUST: The membership of the trust shall be open to all person irrespective of their faith, s*x race, caste, colour and domicile, who have attained the age of eighteen years or above and are not of unsound mind and subscribe to the aims and objectives and rules and regulations of the trust. The members of the trust shall be of the following categories:
(1) LIFE MEMBERS: All the aforesaid life trustees shall be the life members of the trust. Any person who is eligible to be enrolled as a member shall become life member on payment a sum of Rs.10000 (Ten thousand ) only and above to the trust. (2) ORDINARY MEMBERS: A person eligible to be enrolled as member may be admitted as ordinary member the executive committee on his/her payment of Rs. 100/- as admission free and a monthly subscription of Rs. 25/- or as may be prescribed by the Executive committee from time to time. Any ordinary member who fails to make payment of monthly subscription for consecutive three months from the due date shall seize to be the ordinary member of the trust ‘However, such a person, if he/she applies for re-admission and the executive committee is satisfied that sufficient reason existed for non payment thereof, such a person may be readmitted and exempted from paying the admission fee again, if so decided by the executive committee. (3) HONORARY PATRONS: Those who are requested by the Trustees to accept the office of the honorary patrons in view of their eminence in the filed of agricultural education, technology, researches and the related fields and also from the field of education and social services. (4) INSTITUTIONAL MEMBERS: The Executive Committee may admit Govt./Semi-Govt. Private institutions/NGO’s as institutional members on payment of Rs. 5,000/- as admission fee and annual subscription of Rs.1,000/- if the executive committee is satisfied that such institutions subscribe to and/or involve in the implementation of programmes in accordance with the aims and objectives of the Trust. The Executive Committee may change the annual subscription of institutional members form time to time. The institutional members are entitled to nominate one person such to attend the meeting of General Body and such members shall have the right to vote and contest election of the executive committee. All applications for enrolment as member of the Trust shall be addressed to the Secretary of the Trust who after being satisfied about the genuiness of the applicant, shall be submitted to the chairman. The chairman may recommend and place the application. IX. THAT FOR THE FURTHERANCE OF THE OBJECTIONS OF THE TRUST THE TRUSTEES SHALL HAVE THE FOLLOWING POWERS:
(1) To accept any donation, contribution, grant or subscription in cash or in kind from any person(s), body of persons or trust, with or without conditions. (2) To apply the whole or any part of the income of the trust or the trust fund or accumulations their to any one or more of the objects of the trust, as the trustees may in their discretion deem fit from time to time. (3) To convert and deal with Trust property and/or any investments for the time being. (4) To invest the Trust fund either in the purpose of immovable property or in shares, stock or debentures of other securities and investments, or in deposits with or loans to any company, bank or any other person, and to alter, vary or transpose such investments, from time to time at the discretion of the Trustees. (5) To borrow or raise or secure payments of money and also to lend money either with or without security. (6) To sell, manage, transfer, exchange, mortgage, pledge, hypothecate, gift, lease, dispose of or otherwise deal with any property, whatsoever belonging to the trust for the best interest of the trust. (7) To adjust, settle, compromise, compound, refer to arbitration, all actions, suits, claims, demands and proceedings regarding the trust fund. (8) To appoint constituted attorneys or agents and to delegate to such attorneys or agents all or any of the powers vested on them under these presents and from time to time remove such attorneys or agents and to appoint other or others in his/her or their place. (9) To appoint or make provision for the appointment of any person including all or any of the Trustees and committees or administrator or Managing Trustees or otherwise for the purpose of the administration of the Trust in such manner and subject to such rules and regulation as the Trustees may prescribe and also to appoint or provide for the appointment of separate Trustees to hold any fund or investment, subject to the provisions in this deed in such manner and subject to such rules and regulations as the trustees may from time to time think fit. (10) To take, vary, alter or modify, schemes, rules and regulations and for carrying out the objects of the Trust and for the management of the affairs thereof and/or running any institution in furtherance of the objects of the trust and otherwise for giving effect to the objects of the trust. (11) To start, abolish, discontinue and restart any charity or charitable institutions for the benefit of general public and to impose any conditions to any subscription or donation made by them. (12) To set apart and/or allocate the whole or a part of the income or the corpus of the Trust fund or part thereof for any of the objects of the trust. (13) To join, co-operate or amalgamate this trust with other or others having similar or allied objects, upon such terms and conditions as the trustees may in their discretion think fit, particularly having regard to and in conformity with the objects and nature of this trust. (14) To give aid by way of donations out of the income or the corpus of the trust fund or otherwise, to different charitable institutions, societies, organizations or trusts in India which may have been established or which may hereafter be established for the like charitable purposes mentioned in these presents or any of them to enable such institution, societies, organizations or trustees to start maintain, or carry out such charitable objects. (15) To settle the accounts and to compromise, compound, abandon or refer to arbitration any action or proceedings or disputes, claim, demand or things, as deemed proper of such purpose without being responsible for any loss occasioned thereby. (16) To invest nominees of the trust in such investments is permissible under the Income Tax 1961 and the rules framed there under as they stand amended from time to time. (17) To apply the funds and properties of the Trust for all or any of the objectives of the trust. The trustees shall have final discretion in the matter of management of the funds, properties and affairs of the trust. (18) To borrow moneys either on the security of any property comprised in the trust fund or otherwise for all or any of the purpose of these presents, and it shall be lawful for the trustees to make such borrowings on payment of such interest and otherwise on such terms and conditions as they may in their absolute discretion think fit. (19) To apply to the Government, Public bodies, urban, local, municipal, district and other bodies, corporation, companies or persons for and to accept grant of money and of aid, donation and gifts, subscriptions, and other assistance with a view to promoting the objects of the Trust and to discuss and negotiate with the Government Departments, public and other bodies, corporations, companies or persons, scheme and other work and matters within the objects of the trust and to confirm to any proper condition upon which such grants and other payments may be made. (20) To take over, acquire, manage, control or aid any existing institution or institutions having objects either wholly or in part similar to the objects of this trust and on such terms and conditions as may be thought expedient. (21) To take over or amalgamate with any other charitable trust, society, association, or institution with similar objects. (22) To establish, promote, manage, organize or maintain or to assist in establishing, promoting, managing, organizing or maintaining any branch of the trust or any other trust or its branch with objects similar to those of this trust and to promote or carry on the affiliation or amalgamation of such other trust with this trust. (23) To purchase or otherwise acquire and undertake all or any part of the property, assets, liabilities and engagement of any or more of the trusts, societies, institutions or associations with which this trust is authorized to amalgamate. (24) To transfer all or any part of the property, assets, liabilities and engagements of this trust to any or more of the trust, societies, institutions, or associations with which this trust is authorized to amalgamate. EXECUTIVE COMMITTEE: Subject to the over all supervision and guidance of the chairman of the Board of Trustees, all the properties, finances and other administrative affairs of the trust shall be controlled and managed by the Executive Committee. The first office bearers shall be elected at the first meeting of the Board of Trustees after the registration of the trust deed. The executive committee shall consist of the following:
1. The Chairman
2. Vice-Chairman
3. Secretary
4. Treasurer
5. Four executive members (two of whom shall be nominated by the Chairman and the remaining two shall be elected by the general body)
XI. OFFICE BEARERS OF THE TRUST
CHAIRMAN
(a) The settler shall be the Chairman of Board of Trustees as well as Chairman of the Executive Committee. In the event of vacancy of the Chairman caused by death, resignation, or otherwise for remaining life trustees shall elect as chairman from amongst themselves as candidate who gets the highest number of votes of the life trustees present and voting at a meeting especially called for this purpose. The chairman so elected, shall hold office for a period of five years. However the chairman so elected shall be eligible for re-election. (b) The chairman shall be the head of the trust and shall be competent to represent the trust. He/she shall be chief custodian and financial authority of the trust and shall exercise overall supervisions and control over the trust. (c) The chairman shall ensure that the aims and objectives and rules and regulations of the trust are duly implemented, he/she shall have all powers necessary to ensure, observance of the staff who violate the aims and objectives and rules and regulations of the trust. (d) The chairman may, if he/she of the opinion that immediate action is necessary on any matter, exercise any power conferred on any authority/ officer of the trust and shall report it to be the Executive Committee. VICE-CHAIRMAN
(a) The Vice-Chairman shall be nominated by the Chairman for a period of five years with the consultation of Board of Trustees from amongst the life trustees. (b) The Vice-Chairman shall be eligible to be re-nominated after completion of his/her term. (c) The Vice-Chairman shall assist the chairman in the discharge of duties of the chairman and perform such duties and exercise, such powers as delegated, by the chairman or authorized by the executive committee from time to time. (d) The Vice-Chairman if so designated by the Chairman shall officiate as the chairman in the absence of the chairman or if the chairman is unable to perform his/her duties owing to death, illness or otherwise. SECRETARY
(a) The Secretary of the trust shall be nominated by the Chairman in consultation with the Board of Trustees for a period of five years from amongst the life trustees. (b) The Secretary of the trust shall be incharge of administration and office work and shall maintain the records of the trust. (c) The Secretary will be responsible to prepare the Annual Report of the Trust under the guidance of the chairman and present it to the executive committee. TREASURER:
(a) The Treasurer shall be nominated by the Chairman for a period of five years from amongst the life trustees. The treasurer will be eligible for re-nomination on completion of his/her term. (b) The Treasurer shall manage the funds of the Trust and for ensuring that expenditure is incurred for approved purposes and money is granted or sanctioned by the competent authority. (c) The Treasurer shall prepare the annual budget by consulting with the chairman, which will require the approval of the executive committee and board of trustees. (d) The Treasurer shall ensure that the Accounts of the Trust are regularly audited and the Annual Audit Report is presented before the Executive Committee and the Board of Trustees. XII. POWERS AND FUNCTIONS OF THE EXECUTIVE COMMITTEE
1. The Executive Committee shall have to power to create various posts and appoint the staff of the trust and decide and conditions, remuneration and mode of recruitment.
2. The Executive Committee shall have power to take all actions required to promote all or any of the aims and objectives of the trust.
3. The Executive Committee shall have the power to approve the budget, accounts and audit report of the trust.
4. The ordinary meetings of Executive Committee shall be held at least twice in every calendar year.
5. The ordinary and special meetings of the Executive Committee shall be convened or caused to be convened by the chairman.
6. The Executive Committee shall have the power to frame bye-laws for the trust of its institutions.
7. The Executive Committee may delegate its powers to any sub-committee officer or institution by a specific resolution.
8. The quorum of the Executive Committee meeting/emergency meeting shall be one-third.
9. There shall be no quorum for an adjourned meeting of the Executive Committee. XIII. GENERAL BODY: FUNCTIONS & MEETINGS:
1. The General Body of the Trust shall consist of Life Members, ordinary members and institutional members of the trust.
2. The General Body shall normally meet once in a year to discuss and approve the Annual Report and Audit Report of the Trust.
3. The General Body may give such directions and/or guidance to the Executive Committee which may be necessary in the furtherance of the aims and objectives of the trust.
4. The Chairman and Secretary of the trust shall be the Chairman and Secretary of the General Body respectively.
5. The meeting of the General Body shall be called and presided over by the chairman.
6. An Extra ordinary meeting of General Body may be convened by at least one-fourth of the members enroll of whom three should be Life Trustees by circulating a notice in writing along with the agenda.
7. One-third of the members enroll shall constitute quorum of General Body Meetings.
8. To appoint advocates and auditors for ensuring year.
9. Decision of the general body shall be taken by a simple majority. The Chairman will have the casting vote. XIV. ELECTION:
1. The Election of the Executive Members shall be held sufficiently in advance of the expiry of their terms or, unanimously by a returning officer duly appointed by the Executive Committee.
2. The Returning Officer shall conduct Election in accordance with the procedure approved by the Executive Committee. The Returning Officer shall be responsible to ensure that free and fair election.
3. A member eligible to vote an contest election and a member who is in arrears of monthly/yearly subscription as the case may be, shall not be eligible to vote or contest election.
4. The quorum of the General Body shall be 1/3rd majority, adjourned meeting shall require no quorum. XV. FUNDS AND PROPERTIES FOR THE TRUST
1. The corpus of the trust donated by the trustees and local contributions.
2. Annual contributions received from affiliated associations and organizations, if any.
3. Subscriptions and donations collected from the public, loans from Banks and Financial Institutions.
4. Donations and grants collected from state and central Government and other social organizations or corporate bodies in India and abroad.
5. All income, rents, service charges, fees, Donations and other funds and monies collected from Public and all institutions under the control and management of the trust.
6. Movable and immovable properties acquired by the trust.
7. All funds, properties, right claims and demands of every description belonging to or pertaining to the trust now or hereafter that will be acquired from time to time and shall vest in the trust.
8. The trust and the trust funds will be irrevocable for all times.
9. The settler trustee declares that the said funds and all further funds, donations, contributions and income from investments etc., received in any shape or form to the said fund, shall be kept upon trust for the objects and purposes; and will be subject to the powers and provisions hereinafter mentioned.
10. All money forming part of the trust fund and requiring investment shall be invested by and in the name of the trust for the time being in any of the forms and modes authorized by law for investment of trust funds or in deposits with any schedule Bank or Banks in India and to the Trust shall at its discretion sell and/or realize the same or any part thereof. The funds of the trust shall be invested only in immovable or movable property as authorized by law applicable to Trust. XVI. AMENDMENTS TO THE DEED OF TRUST:
1. The Board of Trustees, by a resolution, attended in person by 2/3rd of the total members at a special meeting of the Board of Trustees may change, amend, modify, delete or alter this deed of trust including aims and objectives.
2. However, such changes, or alterations, amendments, deletion etc. should be alter in any way the nature or character of the trust, and that neither the founder nor the trustees shall have any power to revoke the objectives of this trust at any time.
3. The proposed amendments, deletions, medications or alterations, or changes, in the Deed of Trust shall be communicated to the Trustees along with notice of the meeting of the Board of trustees, convened for the said purpose.
4. The Setlor had already declared this Trust in the year 2004 vide Trust Deed dated 10th December 2004 and same has functional since that time, however to give proper form and authenticity, the Setlor is declaring this trust again on this date. XVII. DISSOLUTION OF THE TRUST: If the Trustees at any time unanimously decided that it is expedient to discontinue the trust, any asset remaining after the satisfaction of all debts and liabilities shall not be paid to or distributed among the trustees but shall be given to such other charitable institution or institutions having – similar objects to the trust. XVIII. BANK ACCOUNTS: To open Account or Accounts with one or more Banks in the name of the trust, bank Accounts shall be operated by joint signature of Chairman and Treasurer and to determine its or their mode of operations. XIX. ACCOUNTS AND AUDIT: The Executive Committee of Trust shall keep at the Registered office of the trust or at such other place in the state as the Executive Committee may think fit, proper books of accounts with respect to :
1. All sums of money received and expenses by the Trust and the matters in respect of which the receipts and expenditures takes place.
2. All sales and purchases of goods by Trust and the assets and liabilities of the trust.
3. The Accounts of the Trust shall be audited annually by a person under section226 of the companies Act, 1956 can act as an auditor.
4. The Accounting year of the trust shall be form 1st April to 31st March. XX. INVESTMENT CLAUSE
A) The fund and the income of the trust shall be solely for its achievements of the objects and no portion of it shall be utilized for payment to the trustee by way of profit, interest and dividend etc. B) The funds of the trust shall be invested in the manner and subject to the specification as contained in the various provisions of the Income Tax Act, 1961 as amended up to date. XXI. GENERAL
1. The property of the Trust whether movable immovable shall be vested in the Board of Trustees.
2. The number of Executive Members of the Executive Committee may be increased, if necessary, by 2/3rd of the Board of Trustees, present and voting in a meeting especially called for the purpose. Incase of tie, the Chairman shall have casting vote.
3. The Executive Committee shall have the Power to frame bye-laws of the trust in respect of any institution or committees setup by the Trust and in respect of any matter within the jurisdiction of the trust.
4. The Executive Committee shall be competent to affiliate other organization/institution on such terms and conditions as approved by the Board of Trustees.
5. The quorum of any meeting of Board of Trustees, Executive Committee or any committee or sub-committee shall be 1/3rd of members except amendment. If the quorum is not complete, the meeting shall be adjourned and reconvened by the Chairman. There shall be no quorum for the adjourned meeting.
6. The Executive Committee shall be competent to open branches, offices or institutions/outside New Delhi/Delhi.
7. Any member of the trust or Executive Committee or any office bearer may resign at any time from the office or membership held by him/her by writing to the Chairman. The Chairman may address his/her resignation to the Executive Committee through the Secretary of the Trust. The resignation so tendered shall become effective from the date it is accepted by the Executive Committee.
8. The financial year of the trust for the purpose of maintaining and closing accounts and for the purpose of Budget shall commence from the month of April and with the month of March every calendar year.
9. All deeds and other documents to be executed by or on behalf of the trust shall be done by the Chairman and the trust may sue be used in the name of the Chairman of the trust. All pleadings including plaints, written statements, counter affidavit, applications, petitions, affidavits etc. in all the proceedings by or against the trust shall be signed and verified by the Chairman. IN WITNESS WHEREOF the settler has executed these presents at the place and on the day, month and year first mentioned above in the presence of the following.
