[Legal Alert] The entry into force of Sub-decree on the Requirements and Procedures for Business Combinations

The Royal Government of Cambodia issued a sub-decree on the requirements and procedures for business combinations on 06 March 2023 (“Sub-decree”). Upon six (06) months from issued date, this Sub-decree entered into force on 06 September 2023. This Sub-decree determines the requirements and procedures for business combinations to examine, inspect, and evaluate the potential impact of business combinations to competition in the market of the Kingdom of Cambodia. This Sub-decree sets out three main obligations pertaining to Business Combinations as follows: (1)- Pre-notification of business combinations, (2)- Post-notification of business combinations, and (3)- Registration of business combinations.

‼️Legal Update‼️Sub-decree on the Implementation of the Law on Investment.

The Royal Government of Cambodia has issued a Sub-decree on the Implementation of the Law on Investment on 26 June 2023. This sub-decree is a long-awaited supporting regulation to the new Law on Investment which was promulgated in the late 2021. It provides the details on the investment incentives, investment project registration procedure, the negative list and the priority sectors. This Sub-Decree also sets out more comprehensive provisions on investment protection, acquisition, sale or merger of investment project, and nullification of investment project.
