The display at the Independence Day parade is always very heartwarming. I attended as a child and now I take my children as well.
This morning I saw Trinidad and Tobago at its best. In the midst of what some call a “mess”, it’s good that we can come together with a patriotic spirit.
In the words of the late Denyse Plummer let’s all “Look in the mirror, tell me what you see. A beautiful child of La Trinity!”
Happy 62nd birthday to all of us in Trinidad and Tobago 🇹🇹!

Many of us in business, whether you’re new to the field or whether you’ve been serving on a Board for a long time, have many many questions about governance.
We know it’s very important. We know the regulators take it seriously. We’re hearing about Governance codes. We know about the disastrous consequences of weak corporate governance but truth be told, we don’t know where to start!!
In this series, I’m trying to answer the questions that are posed to me all the time.
So sit back and enjoy and feel free to like and leave a comment if you have any other questions!
I'm so excited to share this upcoming series with you guys!
I'm gonna be sharing tips about our most confusing governance matters.
I've been planning and envisioning it in my mind for so long, and go time is right there!

Some early morning truth:
“That’s been one of my mantras—focus and simplicity. Simple can be harder than complex: You have to work hard to get your thinking clean to make it simple. But it’s worth it in the end because once you get there, you can move mountains”.
Steve Jobs.
3 years! I still can’t wrap my mind around the growth BCS has seen over the last three years.

I am so grateful for the overwhelming support I continue to receive from my husband Joel Bayley (who is my ride or die btw), my family, my friends, my business colleagues and my clients.

Want to show you're serious about Corporate Governance? Develop a Corporate Governance Policy.
A Corporate Governance Policy sets the framework for how your organization is governed by the Board of Directors.
It should be guided by the various laws and regulations that govern your company as well as the Trinidad and Tobago Corporate Governance Code.
It can cover areas such as the Role of the Board, management oversight and stakeholder interests to name a few.
If you need help establishing a Corporate Governance Policy, call or DM us at Ceronne Bayley's Consulting Services todat!
The contents of your Bye-Laws may shock you!
How many times do we join a company as senior managers, as Directors or even investors and have no idea of the contents of the company's Bye-Laws or much worse, that they even exist?
Your bye-laws contain rules governing the company's authorized signatories, the securing of company loans, voting at Board meetings and at shareholder meetings and so much more!
If you're a senior manager, Board director,or investor it's important to become au courant with your company's Bye-Laws to ensure compliance.
Call or DM us today for a consultation relating to your company's Bye-Laws.
If you're anything like me, the end of each year brings with it a multitude of thoughts, emotions, dreams and aspirations.
However, it's important to remember, in whatsoever role you find yourself, to find that space of peace and clarity from which all blessings flow.
Here's to a bright and properous 2023 from all of us at Ceronne Bayley's Consulting Services!

At BCS, we do the tracking for all our clients and send you reminders in advance of your upcoming due dates.

2 ways that policies directly impact your bottom line.
Many companies do not invest in their policy making process because they do not see it as having a direct link to profits.
Different policies will impact your profits in different ways but let's look specifically at the Procurement Policy for example:
Scenario 1: Let's say you need to repair one of the company cars. You automatically call your personal and trusted mechanic and send the car to his shop for repair. He calls you to collect the vehicle and you pay him for his service. Two days later the car shuts down and the mechanic informs you that he will need to keep it for the next month. That's a month of no service from the car, a decrease in sales, increased costs to rent a vehicle and the list can go on and on.
Scenario 2: Your company has been using a certain provider for quite some time. Good relationships are formed and their service is also good. However, in order to make sure that business continues, they offer the person(s) responsible for selecting them a kickback. A kickback is an illegal payment given to someone in exchange for their favour in approving contracts or transactions. In order to faciliate the kickback, you are told that the cost of the service is $200.00 when in fact it is $100.00.
A procurement policy would ensure that you search the market to obtain the best value for money, by establishing criteria such as price, quality and reputation. It ensures that you choose the best provider that the market has to offer in accordance with your needs. As we see from scenario 2, it also prevents fraud and can significantly reduce financial wastage.
A strong procurement policy that is implemented can reduce your costs drastically and directly impact profits.
