NEW REGULATIONS ON REAL ESTATE BUSINESS

VIETNAM PUBLISHES VACCINE PASSPORT TEMPLATE

The Ministry of Health announced the sample, and the process of issuing a passport for the Covid vaccine consists of three steps, applied from 20/12/2021. Accordingly, a vaccine passport is issued to people who have had enough shots with eight types of Covid vaccines licensed by the Ministry of Health.

VIETNAM ALLOWS ENTRANTS WHO HAVE BEEN FULLY VACCINATED AND RECOVERED FROM COVID TO BE SELF-QUARANTINED AT HOME FOR THREE DAYS

On the afternoon of 16/12/2021, the Ministry of Health issued a guideline regarding prevention of the Covid epidemic for arrivals that takes effect from 01/01/2022. Specifically, for those entering Vietnam who have been fully vaccinated or have recovered from Covid, with a negative PCR test, they will only need to seft-isolated at home for 3 days instead of enter centralized quarantine for 7 days.

VIỆT NAM CHO PHÉP NGƯỜI NHẬP CẢNH ĐÃ TIÊM ĐỦ LIỀU VACCIEN HOẶC ĐÃ KHỎI COVID ĐƯỢC TỰ CÁCH LY TẠI NHÀ 3 NGÀY

Chiều ngày 16/12/2021, Bộ Y tế đã ban hành văn bản về việc phòng chống dịch Covid đối với người nhập cảnh có hiệu lực từ ngày 01/01/2022. Cụ thể, đối với người nhập cảnh đã tiêm đủ liều vaccien hoặc đã khỏi Covid, xét nghiệm PCR âm tính thì sẽ cách ly tại nhà 3 ngày thay vì 7 ngày cách ly tập trung.

PEOPLE ENTERING VIETNAM WHO HAS HAD TWO DOSES OF COVID 19 VACCINE TESTED NEGATIVE WILL BE SELF-QUARANTINED AT HOME

On the afternoon of 08/12/2021, Deputy Prime Minister Vu Duc Dam worked with the Ministry of Health and other ministries and sectors on reviewing the prevention and control of Covid 19 related to overseas Vietnamese, foreigners entering Vietnam.

Accordingly, the Ministry of Health must issue new guidelines on isolation and health monitoring for people entering Vietnam no later than 15/12/2021, in the same spirit as for people from epidemic areas to other locations in the country. Specifically:

- Persons on entry who have had two doses of Covid 19 vaccine have negative test results: Self-isolate, monitor health at home for a period of time to ensure disease safety.

- People who have not been vaccinated must have an isolation facility in the country with the best time, conditions, and convenience for their relatives and organize vaccination.

NGƯỜI NHẬP CẢNH VIỆT NAM TIÊM ĐỦ 2 MŨI VACCINE COVID 19, XÉT NGHIỆM ÂM TÍNH SẼ ĐƯỢC TỰ CÁCH LY TẠI NHÀ

Vào chiều ngày 08/12/2021, Phó Thủ tướng Vũ Đức Đam đã làm việc với Bộ Y tế và các bộ, ngành về rà soát công tác phòng, chống dịch Covid 19 liên quan đến người Việt Nam ở nước ngoài, người nước ngoài nhập cảnh vào Việt Nam.

Theo đó, Bộ Y tế phải ban hành hướng dẫn mới về việc cách ly, theo dõi sức khoẻ đối với người nhập cảnh vào Việt Nam chậm nhất trước ngày 15/12/2021, trên tinh thần tương tự như đối với người từ vùng dịch đến các địa phương khác ở trong nước. Cụ thể:

- Người nhập cảnh đã tiêm đủ 2 mũi vaccine Covid 19, có kết quả xét nghiệm âm tính: Tự cách ly, theo dõi sức khoẻ tại nhà với thời gian bảo đảm an toàn dịch bệnh.

- Người chưa tiêm vaccine phải có cơ sở cách ly trong nước với thời gian, điều kiện tốt nhất, thuận lợi cho bà con và tổ chức tiêm vaccine.

NEW REGULATIONS IN E-COMMERCE FOR FOREIGN INVESTORS

E-commerce service provision is a conditional market access activity. The new content introduced by the Government in Decree No. 85/2021/ND-CP, effective in early 2022, is a completely new regulation for foreign investors.

Accordingly, foreign investors that have websites providing e-commerce services in Vietnam shall register for e-commerce activities following the provisions of this Decree. and at the same time establish representative offices or appoint their authorized representative in Vietnam as prescribed by law and have one of the forms of operation below:
• E-commerce website under the Vietnamese domain name.
• E-commerce website whose display language is Vietnamese.
• E-commerce website with over 100,000 transactions from Vietnam in a year.

In addition, for the settlement of consumer complaints when ordering online, the new regulations of Decree 85/2021 will bind higher responsibilities of e-commerce platforms providing the above services. Although currently, e-commerce platforms are still coordinating with agencies to handle and resolve acts or cases that show signs of violating the law and comply with the law to protect the interests of consumer's consumption, the new decree protects the interests of consumers more closely when transactions between parties involve foreign elements.

QUY ĐỊNH MỚI TRONG LĨNH VỰC THƯƠNG MẠI ĐIỆN TỬ CHO NHÀ ĐẦU TƯ NƯỚC NGOÀI

Hoạt động cung cấp dịch vụ thương mại điện tử là ngành, nghề tiếp cận thị trường có điều kiện. Nội dung mới được Chính phủ đưa ra tại Nghị định số 85/2021/NĐ-CP, có hiệu lực vào đầu năm 2022, là quy định hoàn toàn mới đối với nhà đầu tư nước ngoài.

Theo đó, thương nhân, tổ chức nước ngoài có website cung cấp dịch vụ thương mại điện tử tại Việt Nam thực hiện đăng ký hoạt động thương mại điện tử theo quy định tại Nghị định này, đồng thời thành lập văn phòng đại diện tại Việt Nam theo quy định của pháp luật hoặc chỉ định đại diện theo ủy quyền của mình tại Việt Nam và có một trong các hình thức hoạt động sau:
• Website thương mại điện tử dưới tên miền Việt Nam.
• Website thương mại điện tử có ngôn ngữ hiển thị là tiếng Việt.
• Website thương mại điện tử có trên 100.000 lượt giao dịch từ Việt Nam trong một năm.

Ngoài ra, đối với công tác giải quyết khiếu nại của người tiêu dùng khi đặt hàng trực tuyến, quy định mới trong Nghị định 85/2021 sẽ ràng buộc trách nhiệm lớn hơn của các sàn thương mại điện tử cung cấp dịch vụ nêu trên. Mặc dù hiện nay các sàn thương mại điện tử vẫn đang phối hợp với các cơ quan để tiến hành xử lý, giải quyết những hành vi hoặc vụ việc có dấu hiệu vi phạm pháp luật và tuân thủ theo pháp luật bảo vệ quyền lợi người tiêu dùng. Song, nghị định mới bảo vệ quyền lợi của người tiêu dùng chặt chẽ hơn khi các giao dịch giữa các bên có yếu tố nước ngoài tham gia thực hiện.

SOLUTIONS FOR COMPANIES IMPACTED BY THE COVID 19 OUTBREAK

Until recently, the Covid 19 outbreak has had a severe impact on businesses operating all field. As a result, Vietnamese government released Resolution 406/NQ-UBNVQH15 on 19/10/2021, outlining a variety of options to assist companies affected by the Covid 19 pandemic, namely as Corporate income tax and value added tax.

In 2021, the Corporate Income Tax rate will be reduced by 30%.

Organizations involved in the manufacturing and trade of products and services are eligible.

The revenue for the tax year 2021 is expected to be less than 200 billion VND, which is lower than the revenue for the previous year.

From November, there will be a 30% savings on value added tax.

30% discount on value added tax from 01/11/ 2021 to the end of 31/12/2021.

Applicable to groups of goods and services according to Appendix 01 of Decree 92/2021, including:
- Service of transportation.
- Accommodation and catering services.
- Information and communication.
- Main cargo service and support.
- Arts, entertainment and entertainment services.

Furthermore, the policy of exempting late payment interest of tax debts, land use levies, and land rents arising in 2020 and 2021 will be applied to enterprises that incur losses in the tax period 2020. The enterprise submits a written request for exemption from late payment interest, clearly stating the loss incurred for the period, as long as the payable tax amount corresponds to the actual revenue generated in the third and fourth quarters of 2021.

GIẢI PHÁP CHO DOANH NGHIỆP BỊ ẢNH HƯỞNG BỞI COVID 19

Tính đến thời điểm hiện tại, sự bùng phát của Covid 19 đã ảnh hưởng nghiêm trọng đến các doanh nghiệp hoạt động trong tất cả các lĩnh vực. Vì lý do đó, Chính phủ Việt Nam đã ban hành Nghị quyết 406/NQ-UBNVQH15 vào ngày 19 tháng 10 năm 2021, vạch ra nhiều phương án hỗ trợ các công ty bị ảnh hưởng bởi đại dịch Covid 19, có thể kể đến như là thuế thu nhập doanh nghiệp và thuế giá trị gia tăng.

Thuế thu nhập doanh nghiệp phải nộp năm 2021 được giảm 30%.

Quy định này được áp dụng cho các tổ chức hoạt động sản xuất kinh doanh hàng hóa, dịch vụ.
Điều kiện: Doanh thu trong kỳ tính thuế năm 2021 không quá 200 tỷ đồng và doanh thu trong kỳ tính thuế năm 2021 giảm so với doanh thu trong kỳ tính thuế năm 2019.

Thuế giá trị gia tăng được giảm 30% từ ngày 01/11/2021 đến hết ngày 31/12/2021.

Nhóm hàng hóa, dịch vụ theo Phụ lục 1 của Nghị định 92/2021 bao gồm:
- Dịch vụ vận tải.
- Dịch vụ lưu trú và ăn uống.
- Thông tin và truyền thông.
- Dịch vụ hành chính và hỗ trợ.
- Dịch vụ nghệ thuật, vui chơi và giải trí.

Ngoài ra, chính sách miễn tiền chậm nộp của các khoản nợ tiền thuế, tiền sử dụng đất và tiền thuê đất phát sinh trong năm 2020 và năm 2021 sẽ được áp dụng đối với các doanh nghiệp phát sinh lỗ trong kỳ tính thuế năm 2020. Khi đó, doanh nghiệp có văn bản đề nghị miễn tiền chậm nộp, trong đó nêu cụ thể số lỗ phát sinh trong kỳ, miễn là số thuế phải nộp tương ứng với doanh thu thực tế phát sinh trong quý 3 và quý 4 năm 2021.

VIETNAM - LAOS SPECIAL PREFERENTIAL IMPORT TARIFF

On 19/10/2021, the Government issued Decree No. 90/2021/ND-CP on Vietnam's Special Preferential Import Tariff to implement the Trade Agreement between Vietnam and Laos from 04/10/2020 to 04/10/2023.

Accordingly, the List of goods originating from Laos under the Vietnam-Laos Trade Agreement includes:

- The list of goods entitled to 50% reduction in Vietnam's ATIGA tax rate under the Vietnam-Laos Trade Agreement .

- List of goods not eligible for preferential tariff treatment under the Vietnam-Laos Trade Agreement.

- List of goods entitled to the annual tariff quota regime under the Vietnam-Laos Trade Agreement.
Notes: Imported goods are subject to a special preferential import tax rate of 0%.

Imported goods originating from Laos are entitled to the special preferential import tax rate of 0% if satisfying the following conditions:

- Being imported from Laos into Vietnam.

- Meet the provisions of the current law on the Rules of Origin applicable to goods entitled to Vietnam-Laos preferential tariff and must have a Certificate of Origin form S (C/O form S) issued by the competent authority of Laos according to regulations.

BIỂU THUẾ NHẬP KHẨU ƯU ĐÃI ĐẶC BIỆT VIỆT NAM – LÀO

Vào ngày 19/10/2021, Chính phủ ban hành Nghị định 90/2021/NĐ-CP về Biểu thuế nhập khẩu ưu đãi đặc biệt của Việt Nam để thực hiện Hiệp định thương mại giữa Việt Nam - Lào từ ngày 04/10/2020 đến ngày 04/10/2023.

Theo đó, Danh mục hàng hóa có xuất xứ từ Lào theo Hiệp định Thương mại Việt Nam-Lào gồm:

- Danh mục hàng hóa được hưởng ưu đãi giảm 50% thuế suất ATIGA của Việt Nam theo Hiệp định Thương mại Việt Nam-Lào.

- Danh mục hàng hóa không được hưởng ưu đãi thuế quan theo Hiệp định Thương mại Việt Nam-Lào.

- Danh mục hàng hóa được hưởng chế độ hạn ngạch thuế quan hằng năm theo Hiệp định Thương mại Việt Nam-Lào.

Lưu ý: Hàng hóa nhập khẩu áp dụng thuế suất thuế nhập khẩu ưu đãi đặc biệt 0%.

Hàng hóa nhập khẩu có xuất xứ từ Lào được áp dụng thuế suất thuế nhập khẩu ưu đãi đặc biệt 0% nếu đáp ứng các điều kiện sau:

- Được nhập khẩu từ Lào vào Việt Nam.

- Đáp ứng theo quy định của pháp luật hiện hành về Quy tắc xuất xứ áp dụng cho hàng hóa được hưởng ưu đãi thuế quan Việt Nam-Lào và phải có Giấy chứng nhận xuất xứ hàng hóa mẫu S (C/O form S) do cơ quan có thẩm quyền của nước Lào cấp theo quy định.

NEW ECONOMIC POLICIES EFFECTIVE FROM OCTOBER, 2021

Resolution to support employees and employers affected by Covid 19 from the Unemployment Insurance Fund.

The Government issued Resolution No. 116/NQ-CP dated 24/09/2021 on policies to support employees and employers affected by the Covid 19 pandemic from the Unemployment Insurance Fund.

1. Support for employees in cash affected by the Covid 19 pandemic from the balance of Unemployment Insurance Fund.

Funding source: about VND 30,000 billion from the balance of the Unemployment Insurance Fund until the end of 2020. The time to support employees is from 01/10/2021 and to be completed by 31/12/2021 at the latest.

2. Reduce the contribution amount to the Unemployment Insurance Fund for employers affected by the Covid 19 pandemic.

Subjects of application are employers specified in Article 43 of the Employment Law who are participating in unemployment insurance before 01/10/2021 (excluding state agencies, political organizations, socio-political, people's armed forces units and public non-business units covered by the state budget for recurrent expenditures).

- Contribution reduction: The employer is entitled to reduce the contribution rate from 1% to 0% of the monthly salary fund of employees participating in unemployment insurance.

- Time to reduce the payment: 12 months, from 01/10/2021 to the end of 30/09/2022.

WHAT REQUIREMENTS MUST EMPLOYEES MEET IN ORDER TO RETURN TO WORK ON OCTOBER 1ST

On 24/09/2021, the Ho Chi Minh City Department of Transport (DOT) submitted to the Ho Chi Minh People’s Committee a plan to organize the return of employees from provinces and cities to Ho Chi Minh City, outlining the modes of transportation and travel conditions.

The DOT has collaborated with other departments... to establish a strategy to guarantee safety and strict adherence to epidemic prevention laws in order to provide ideal conditions for workers to return to work during the period when Ho Chi Minh City’s economic activities are resuming.

Employees (of companies and cooperatives operating in the city, including workers and specialists) must have a work plan validated or notified in writing by businesses or cooperatives, have been vaccinated with the first dosage 14 days after becoming vaccinated, or have recovered from Covid 19 as confirmed by a medical authority in order to return to work.

As needed, test negative for genuine Covid 19. To guarantee safety in the prevention and control of Covid 19, workers must be authorized to relocate by the People’s Committee of the province/city where they dwell (for the locale, the orange and red zones).

The DOT provides three options for road travel:

1. The employer organizes itself by sending the plan to the focal agencies for review and submission to the DOT for consideration and implementation (the People's Committee of Thu Duc City and districts, the Management Board of the City’s Industrial and Export Processing Zone, the Management Board of the High-Tech Park, etc...).

The DOT will issue the vehicle with an identity certificate that includes a QR code, as well as notify the provinces and cities of the plan. The bus will drop off passengers at Mien D**g and Mien Tay bus stations, and employees will return home from the bus station in a cab or a registered transit vehicle licensed by the DOT.

2. Management Board of the Export Processing Zone, Hi-Tech Park, and other management boards serve as a focal point for summarizing the demands of the units they oversee and collaborating with FUTA BUSLINES to establish a transport strategy. The vehicle may only be dropped off at the place specified in the plan once it has been approved for deployment.

3. Ho Chi Minh DOT will establish a permanent bus route between local bus terminals and Ho Chi Minh City. The bus only makes four trips each day on each route.

In terms of implementation timelines, phase 1 (October 1 to October 31) will carry out road transport in modes 1 and 2; and implement all three approaches described above in Phase 2 (starting November 1st).

When returning to the city, employees must present a photocopy of the request with the list of receiving unit employees; an original certificate of Covid 19 negative test result within 72 hours; a certificate of having received the first dose of vaccine 14 days ago or a certificate of being cured of Covid 19.

03 RIGHTS OF EMPLOYEES RELATED TO THE IMPLEMENTATION OF "3 ON-THE-SPOT"

1. Employees who perform 3 on-the-spot shall supported by the union with a meal allowance of 1 million dong/person.
According to the guidance in Decision 3089/QD-TLD, employees are working at enterprises that are implementing “3 on-the-spot” for production is supported one-time VND 1 million/employee for meals.

2. Employees, who do not agree with accommodation solutions which satisfy “3 on-the-spot” principle of the enterprises, can receive stoppage pay and Covid 19 support money according to Decision 23/2021/QD-TTg or an agreement with the enterprise.

3. Enterprises that fail to satisfy “3 on-the-spot” principle and must suspend operation during implementation of abovementioned local regulations shall be considered to be under suspension of operation at request of competent authority for Covid 19 epidemic management in order to receive benefits under Article 13 of Decision No.23/2021/QD-TTg.

COVID 19 PANDEMIC - FLEXIBLE PRODUCTION OPTIONS SUITABLE FOR IMPLEMENTATION

Contacting the Special Group of the Ministry of Industry and Trade, Mr. Tran Anh Hao - Head of the Industrial Management of the Department of Industry and Trade of Ho Chi Minh City said that in order to stabilize production activities in the new situation, Ho Chi Minh City has offered 4 options for on-site production for businesses to choose.

Option 1: continue to implement the "3 on the spot" option or the flexible "3 on-site according to the team" option (on-spot production, on-spot eating, on-spot rest alternately according to the production team).

Option 2: continue to implement "1 road - 2 locations" option or the flexible "1 road - 2 locations" option (workers only circulate on 1 road connecting 2 locations where work and concentrated accommodation).

Option 3: Combining both “3 on-site” and “1 road - 2 locations” options.

Option 4: organize activities under the motto "4 green" including green human resources, green roads, green production areas and green places to live.

ESSENTIAL POINTS TO NOTE ON OUTWARD INVESTMENT ACTIVITIES IN 2021

Recently, oversea investment operations have gotten a lot of attention, especially since a new Decree regulating Law on Investment was issued.

There are a few things that Investors should be aware of to when it comes to outward investment capital.

It is undeniable that outward investment activities are received a huge incentive from Vietnam State. With the aim to exploit, develop and expand the market, improve the export of goods and services, or access modern technologies, Vietnamese Government issued Decree No.31/2021 (Decree 31) dated 26/03/2021 providing detailed guidance on Law on Investment, including guidance on outward investment activities.

According to Decree 31, Vietnamese investors are entitled to use their capital contribution, shares or investment projects in Vietnam to pay for or swap their acquisition of capital contribution, shares or investment projects of foreign business organizations. In doing so,
- An outward Investment Certificate must be obtained first for their contemplated acquisition.
- After that, the foreign investors shall carry out the investment in Vietnamese investors’ entity in Vietnam in accordance with laws.

In addition, regarding the outward investment capital of an Enterprise which foreign investors hold more than 50% of charter capital, such outward investment capital must be the owners’ equity, exclusive of the capital contributed to conduct investment activities in Vietnam.

If the increased contributed capital is used for outward investment, the investor shall perform process for obtaining an Outward Investment Registration Certificate as prescribed in Decree 31 and carrying out the increasing capital procedure and fully contribute charter capital in Vietnam before transferring investment capital overseas.

REDUCE THE DAYS OF CONCENTRATED ISOLATION FOR THOSE ENTERING THE COUNTRY WHO RECEIVED 2 DOSES OF THE VACCINE AND TESTED NEGATIVE

The Ministry of Health has issued an official letter on reducing the period of concentrated isolation for imported people who have received a full dose of COVID 19 vaccine. Specifically, carry out 7 day concentrated isolation and medical observation for the next 7 days for those entering the country who meet the following conditions:

- Having a negative test result for SARS-CoV-2 (by method RT-PCR/RT-LAMP) within 72 hours before departure and certified by the competent authority of the country performing the test.

- Have had a full dose of COVID 19 vaccine (the last dose given in at least 14 days and not more than 12 months by the time of entry) and have a certificate of vaccination. Or have ever been infected with SARS-CoV-2 (with a certificate of positive test for SAR-COV-2 by RT-PCR method of single sample not older than 6 months by the time of entry) and have a certificate of recovery from COVID 19 disease or equivalent documents confirming recovery from the disease, issued by the competent authority in the country of treatment.

- Test for SARS-CoV-2 on the 1st, 7th day from the date of entry (the first day can use rapid antigen test or by RT-PCR method, 7th day is mandatory to use single-sample RT-PCR method). If the result is positive, then handle according to regulations.

POLICIES TO SUPPORT EMPLOYEES AND EMPLOYERS IN DIFFICULTY DUE TO THE COVID 19 PANDEMIC

During the current COVID pandemic, there are many problems arising in the labor relationship and operating business. Therefore, on 01/07/2021, the Government issued "Resolution No.68/NQ-CP come effective on 01/07/2021" on the implementation of a number of policies to support employees and employers facing difficulties due to the COVID 19 pandemic with the following categories of support as below:

1. Reduction in insurance premiums for occupational accidents and diseases:
- Rate: 0% of the salary fund.
- Duration: 12 months (01/07/2021 – 30/06/2022).

2. Suspension of contributions to the retirement and survivorship fund.

3. Job retention training programs for employees.

4. Assistance to furloughed employees.

5. Assistance to employees with terminated employment contracts.

6. Supplemental policy and policy for children.

7. Food allowance of VND 80,000/person/day will be given to people who need to be treated with COVID 19 infection (F0), from 27/08/2021 to 31/12/2021.

8. Support for art directors, actors, painters.

9. Assistance to household businesses.

10. Loan policy to pay furlough wages, wages for production recovery.

11. As for employees without an employment contract (self-employed) and some other specific entities.

VIET NAM SHALL TRY THE GUARANTINE PERIOD 07 DAYS (INSTEAD OF 21 DAYS) FOR FOREIGNERS WHO VACCINATED WHEN CHECK INTO VIET NAM

Persons entering Vietnam according to the regulations of the Government of Vietnam and the National Steering Committee for COVID-19 prevention and control (experts, business managers, skilled technical workers and their relatives; students, international students, athletes).

1. Form: 07 days of concentrated medical isolation and 07 days of home medical isolation and continue to self-monitor their health for the next 14 days.

2. Required documents in English:

- Certificate of full dose vaccination against COVID-19 (issued by a competent authority in the country where the vaccine is administered (the vaccine must be approved by the World Health Organization or the US Centers for Disease Control, the European Medicines Agency or Vietnam licensed to use). The last dose of vaccine must be given for at least 14 days and not more than 12 months from the time of entry).

- Certificate of recovery from COVID-19 (issued by the competent authority of the country of treatment. The time from hospital discharge to entry date must not exceed 12 months)

3. 07 days of concentrated isolation those who fully meet the following conditions:

- Have had the full dose of vaccine or recovered from COVID-19.

- Having a negative RT-PCR test result for SARS-CoV-2 and a positive anti-SARS-CoV-2 antibody test on the first day after entry.

4. Before entering

- Make a medical declaration via the VHD/Bluezone application on your smartphone or on the website https://tokhaiyte.vn within 36 hours before the scheduled departure time at the departure gate, save the QR code on your phone Smart phones or print QR codes on paper to present at the border gate.

- Register for a centralized medical isolation hotel, home medical isolation location, and place to stay during the self-monitoring period via the VHD application or on the website https://tokhaiyte.vn

- For experts and relatives, students, international students: register for concentrated medical isolation hotels, medical isolation places at the accommodation according to the plan approved by the Provincial People's Committee.

- Test for SARS-CoV-2 by RT-PCR/RT-LAMP method within 72 hours before departure and certified by the competent authority of the country conducting the test (in English) with results of negative (required for experts and relatives, students, international students).
