The Africa Construction Law Conference’s Session 3 Day 1 on Contracting and Procurement in Africa’s Construction Sector brought to light several current trends and challenges.

One key trend is the increasing use of Public-Private Partnership (PPP) projects, which allow for the distribution of risks between private and public entities based on their ability to manage them. The panel, which was chaired by Tom Smith Partner, THogan Lovells London, United
Kingdom emphasized the critical importance of the early phase of the contracting process, with Dr. Melis Mani stating, “Once the initial process fails, it just flows through the entire project.”

FIDIC contracts are widely used across Africa due to their comprehensive legal framework for multinational projects. These contracts cover a broad range of issues, including rights and obligations, risk allocation, payment terms, dispute resolution, and project management. The panel agreed that FIDIC is the most suited for Africa compared to other contracts.

To promote fair and transparent contracting and procurement processes, construction law can play a pivotal role. It can ensure that agreements are clear, comprehensive, and legally sound from the outset, and support the adoption and adaptation of standard forms of contracts and procurement documents like FIDIC, NEC, and JBCC contracts. Additionally, construction law can accommodate the diversity and complexity of contractual arrangements and parties in Africa’s construction sector, such as joint ventures, consortia, subcontractors, and local content requirements.

By fostering a fair and transparent contracting environment, construction law can help drive sustainable development and infrastructure growth across the continent.

The audience’s fervent engagement with our panelists during session 2 was palpable, with every question sparking lively discussions and thoughtful insights flowing freely.

The African construction sector faces a myriad of challenges, with dispute resolution and risk management emerging as crucial areas in need of attention. Session 2 of the delved deeper into this crucial plight.

One of the primary issues plaguing the sector is the prevalence of poorly drafted contracts. Many contracts lack clarity, specificity, and fail to adequately address potential disputes, leading to conflicts down the line. This highlights the urgent need for expertise in contract drafting and negotiation to ensure that agreements are comprehensive and legally sound from the outset.

Effective contract management is another critical aspect that requires emphasis. Proper administration of contracts throughout the project lifecycle can help mitigate risks, anticipate challenges, and facilitate smoother dispute resolution processes. This involves diligent record-keeping, proactive communication, and timely intervention to address issues as they arise.

However, the landscape is further complicated by the lack of good political will in some regions. Political instability, corruption, and regulatory inconsistencies can hinder the enforcement of contracts and undermine confidence in the construction sector. Building trust and fostering a conducive environment for investment and development are essential to overcoming these challenges.

Moreover, financiers often exacerbate risk by delaying funds, causing project delays and financial strain on contractors and developers. Timely disbursement of funds is crucial for project continuity and stability, emphasizing the need for collaboration and transparency between all stakeholders.
