CLARIFICATION FOR FILING LLP FORM 11

Every LLP is required to file annual return in LLP form 11 before 30th of May every year. But in current situation considering the threat of COVID-19 MCA has taken certain measures to relax the burden of LLPs and Companies. According to MCA circular MCA will not levy any additional fees for late filing of forms during a moratorium period from 01st April to 30th September 2020. Hence, an LLP can file form 11 up to 30th September instead of 30th May without any additional fees until any further notification.

Notice regarding Board meetings under the Companies Act, 2013

Reg: Board meetings under the Companies Act, 2013: Considering the need to take precautionary steps to overcome the outbreak of the coronavirus (Covid-19), the Government has in-principle decided to relax the requirement of holding Board meetings with physical presence of directors under section 173 (2) r/w rule 4 of the Companies (Meetings of Board and its Powers) Rules, 2014 for approval of the annual financial statements, Board’s report, etc. Such meetings may till 30th June, 2020 be held through video conferencing or other audio visual means by duly ensuring compliance of rule 3 of the said rules. The necessary changes in the rules in this regard are expected to be notified soon.

Three Major clarifications by Webinar held by ICSI on Spice+ web form

1.Registrations of PF & ESIC:

Yes, the Registration of PF & ESIC is mandatory irrespective of number of employees.
However, the compliance of the rules relating to the PF, ESIC need to be done only if the company reach the threshold limit for the respective Registration.

2.Separate Name Application still available:

Yes, it is available, the only difference is that instead of doing it under “RUN”, it can be applied now under Part A of Spice+ web form.

3.Bank Account:

It is mandatory to open a Bank account through spice+ web form.
However, If the Company wants to close down the account, they can and if the account needs to be continued then the company can also have more than one bank account.
Further the directors must comply with the KYC norms and other separate requirements of bank.

Now prior filing of INC-12 for new section-8 companies is being dispensed with vide the Companies(Incorporation) Sixth Amendment Rules, 2019 dated 7th June, 2019.
Henceforth, Section 8 Companies can be incorporated by either reserving names through Run and filing SPICe thereafter or by directly filing SPICe. Licence No. for a section 8 company shall henceforth be allotted at the time of incorporation itself.
