Honored to attend the Ronald McDonald House Charities®️ (RMHC) of South Florida’s fundraiser, Twelve Good Men Luncheon. The money raised helps provide a “home away from home” for families with ill children receiving treatment in South Florida’s pediatric medical facilities.

I had the pleasure of being seated with Judge Julie Harris Nelson and attorney Jane Muir. Their hard work and dedication to the community of Miami is greatly appreciated. I look forward to seeing them again at future events.

As Gov. Ron DeSantis calls legislators into a special session starting November 15, the quiet pushback of the powerful business industry is already being felt. Both business owners and employees are left wondering what the government can mandate, and what business owners can and cannot do.

According to currently Florida state law, the state has “right to work” laws, which mean an employee can be fired any time for any reason or no reason at all. At the same time, an employee has the “right” to quit at any time for any reason or no reason at all.

Because of that, businesses have leeway to impose rules, and in most cases, employees must follow them.

Companies are using everything from vaccine mandates to mask requirements, to frequent testing of the unvaccinated to keep workers safe. But those measures are raising questions about exemptions, health risks, and legal rights.

While President Joe Biden in September directed the OHSA (Occupational Safety and Health Administration), mandated that private companies with 100 or more employees must vaccinate their staff against COVID-19 or test unvaccinated workers at least once a week, Florida Governor Ron DeSantis has said he will challenge this, and all mandates placed on employers by the President.

For now, any business that wants to make vaccination mandatory has the legal right to do it and businesses can condition employment on getting a vaccine. However, with new laws and challenges arising daily, this further confuses the situation, and leaves both business owners and employees wondering...

Cybersecurity was a looming threat prior to the pandemic. But now that the pandemic hit, the FBI has reported a 300% increase in cybercrime. A third of all data breaches in 2020 involved small businesses. With the future projecting an increase in hybrid work, businesses will need to remain proactive and integrate more security tools and technologies for both employees at home and in the office to protect them from cybercrimes.

The Miami metro area is quickly becoming the place to be. In the last year, companies like , , and have expanded or relocated to South Florida. These companies are influencing others to join in the migration. With a new influx of businesses and residents, both lawyers and real estate professionals can benefit from the migration.

Companies relocating to South Florida will require both commercial and personal needs. Businesses will be seeking physical offices or commercial space, while employees will need housing. Whether it is buying or selling property, or opting to sign a lease as a tenant, they will require a realtor. In addition, companies will require a variety of legal services from employment contracts to capital raising transactions, commercializing their technology.

Now more than ever, it is imperative to monitor the social media accounts of these newcomers. Follow the companies on LinkedIn and join groups to connect with those that have similar interests. Attend in-person and virtual events to increase networking and generate leads. Philanthropic events and organizations are also a wonderful way to connect to others and offer an alternative approach to straight-up networking.

Finally, reaching out and working with companies like , a non-profit organization that is helping high-impact companies that will affect the South Florida economy through job creation and economic opportunities. They are currently seeking to partner with real estate and law firms.

Your business agreements are a foundational key to your success, and if your agreement is missing or inaccurate regarding critical information, you may face issues later. It is of the utmost importance to ensure that your business and real estate lawyer does entity and officer due diligence when creating your business contracts. What entity is signing and who, and with what authority is critically important to enforce your agreements successfully.

When creating an agreement, follow these rules to ensure your success:

• Always start with the basics, all the player's information and their entities, "trust but verify." Check all the supporting documents.

• Modify the agreement according to your county & state. Different states, especially CA and NY, have laws that can be used against Florida business owners and used to circumvent their rights. Be sure the controlling jurisdiction is Florida.

• Discuss discrepancies, conflicts, etc., and have your lawyer sort them out in the agreement. Start with a term sheet to help your lawyer help you, but stay organized and keep costs down.

Remember, agreements imply your business's sophistication, and each one should be a building block to success and growth.

It's a very, very small world. Denver to Miami and Washington, D.C., back to Miami and the Dominican Republic.


Eight years ago, Salvatore Joseph Rizzo, III or Dominican Joe (use his @), asked me to bring his vision for a foundation to life, the Dominican Joe Foundation – a non-profit 501(c)(3) in a small remote town in the Dominican Republic called Las Terranes. He set out and has successfully built schools, provided qualified teachers, and delivered all the necessary supplies to foster maximum potential.

Fast forward 6 years, and I get an out-of-the-blue phone call. A good friend from high school( ) tells me he and his wife, Susan, and their two children, Penelope and Cooper, are done with Washington, D.C. The Haese family is up and moving and are pursuing their dreams to blend education and sports for children in need! Amazing! But wait, that's not all; also, they had fallen in love with the Dominican Republic, and not just any part but as fate would have it, but Las Terranes. Derek had looked up the other local U.S. charity, and guess who's the attorney of record, his old Littleton, Colorado buddy!


Today, I am proud and grateful to represent two international not-for-profit organizations in the Dominican Republic that have a home base with Yormack Law and in Miami. 🙏🏻

Both Joe's, Dominican Joe Foundation, and Derek and Susan's, Haese Academy recognized the same need. They all fell in love with the people and the land.

With the buzz surrounding Opportunity Zones growing as Miami’s mayor and other leaders continue promoting the attractive tax advantages, Adam J. Yormack, Esq. was asked how one can best position a business to benefit from these opportunities.

Answer: By using qualified opportunity funds to invest capital gains, companies can maximize investment in starting, growing, and adding new lines of business to take advantage of the program and maximize returns.

A prime example of this groundbreaking program is Optima Towers, developed by current client Jorge Bromberg of Inmobiliria Brom. It is the first “Class A” office tower delivered in South Florida in an opportunity zone.
