HISTORY
Our Company was incorporated in the State of Delaware in 1976 under the name Designs, Inc. Until fiscal 1995, we operated exclusively Levi Strauss & Co. branded apparel mall and outlet stores. In May 2002, we acquired the Casual Male business from Casual Male Corp. at a bankruptcy court-ordered auction. At the time of the acquisition, Casual Male was the largest retailer of men’s clothing in the big & tall market in the United States. As a result of the acquisition and the significance of it to the growth and future identity of our Company, on August 8, 2002, we changed our name to “Casual Male Retail Group, Inc.”
Since the acquisition in 2002, we have invested approximately $75.0 million, of the total $105.0 million spent in capital over the past six years, toward rebuilding our infrastructure, including:


modernizing our information technology, benefiting every aspect of our operations from distribution, global sourcing, store operations and merchandise planning to overall inventory management and profitability;



updating and restructuring our distribution center with an enhanced warehousing application that significantly streamlined our distribution processes, enhanced our in-transit times and significantly reduced our costs;



refreshing our real estate portfolio through our remodeling and relocation initiatives. Since 2002, we have remodeled approximately 262 of our Casual Male retail and outlet stores and have relocated another 50 to improved locations;

acquiring Rochester Clothing in fiscal 2004, with its then 24 retail stores; and,



re-branding all of our Casual Male stores, including all signage, from Casual Male Big & Tall to Casual Male XL. This name change helped to remove the stigma associated with the words “big & tall” and was positively received throughout the chain.

Since May 2002, we have been implementing our strategic turnaround initiatives and our plans to increase profitability to re-position us to become the premier global specialty men’s apparel retailer catering to the big & tall niche market. These efforts included:

• reducing the high expense base of the Casual Male business;

• modernizing our information technology and inventory systems;

• restructuring merchandise assortments to better meet the needs of our target customers;

• enhancing and growing our catalog and internet businesses;

• improving our merchandise sourcing; and

• divesting our under-performing and non-core business segments which included our Levi’s®/Dockers® business and our Ecko Unltd.® business which was completed in fiscal 2004.
To better serve a broader group of our target customers, in fiscal 2004 we acquired Rochester Big & Tall Clothing (“Rochester”). As part of the acquisition, we acquired 22 retail stores, 21 located in major cities in the United States and one in London, England, in addition to a growing catalog and e-commerce business.

The Company saw significant opportunities to grow the Casual Male business, such as:

• in general the Casual Male brand had previously been under managed;
• its expense base was high;
• little or no capital investment had been made in the Casual Male business for a number of years, and therefore was operating on ineffective, legacy computer systems;
• the merchandise assortments in the store were not targeted to Casual Male’s broad market;

• the stores had not been properly maintained;
• there was no multi-channel operating strategy for its under-achieving direct-to-consumer business; and
• there lacked any strategic initiative to expand its market share.

Since May 2002, the Company has been implementing its strategic turnaround plan to re-position Casual Male to become the premier global specialty men’s apparel retailer catering to the big & tall niche market. At the same time the Company continued to see considerable deterioration in its Levi’s®/Dockers® business and in fiscal 2002 the Company announced that it would downsize and eventually exit the Levi’s®/Dockers® business.
