On 1 April 2023 the CIPC announced new changes to the Companies Act 71 of 2008 regarding Beneficial Ownership. These amendments require all South African companies and close corporations to register their Beneficial Owners at CIPC.
Entities Required to File:
Profit companies (PTY)
Non-profit companies (NPC)
Close Corporations (CC)
External Companies
Trusts
Non-exempt State-owned Companies (SOC)

Failure to comply with the new beneficial ownership regulation at the CIPC by
1 October 2023, violates the Companies Act 71 of 2008, and may result in a court-ordered administrative fine of 10% of the company's turnover or R1 million.

An annual return is a summary of the most relevant information regarding the company or close corporation and is filed with CIPC(Companies Office Of South Africa) while a tax return focuses on taxable income of a company or close corporation in order to determine its tax responsibility to the State and is filed with SARS (South Africa Revenue Service).

If I registered a company but am not trading is it a must to do annual returns with CIPC?
Answer: Yes

Why ?
Because if you don't file the CIPC will assume that you no longer exist or you gave up on the idea of doing business so if this not making returns continues for a period of 3 to 5 years they would deregister(Close) your company from their register.
