The Memorandum and Articles of Association of a Company is like the constitution that governs the affairs of the Company.
Acts done outside its provisions are ultra vires and cannot be ratified by the Company, even if they wish to. It is better to avoid such acts.

In legal contexts, ultra vires refers to actions taken by an entity, typically a corporation or government body, that are beyond the scope of its legally granted powers or authority.
The powers of a Company are circumscribed by the Memorandum and Articles of Association and when a Company goes beyond such powers, it can be deemed ultra vires.
If an action is deemed ultra vires, it may be invalid or unenforceable.

For such work to however be eligible for copyright protection, a Creative must meet the following conditions:
1. Sufficient EFFORT has been expended in making the work to give it an original character.
2. The work has been fixed in a tangible form or medium of expression. E.g written down, recorded, or saved on a computer.

Protecting the rights of Creators; Copyright matters.
Copyright is an exclusive right given to the creator of an original work to copy, distribute, adapt, display, and perform the creative work, usually for a limited period of time with the intention of enabling the creator to receive compensation for their intellectual effort.
As a creative, you may find out that people make use of the fruits of your hardwork without authorization.
One of the ways by which you can protect your work from such unauthorized usage is by registering such work with the Copyright Commission.
For a Work to be registrable, it must however be an Eligible work as provided under the Law and meet some requirements.

Here are some of the remedies available to an offended party in the event of a breach of contract.
Ibukun being aggrieved by her failed agreement with Emeka, could choose to go to Court and is entitled to one or any of these remedies.

Navigating the aftermath of a breach of Contract.
Emeka and Ibukun entered into a sale of cement transaction in which Emeka refused to fulfill his own side of the bargain. Is Emeka in breach of the contract agreement or not? 🤔

A breach of contract arises in any of the following situations:
✅ A party to a Contract fails to fulfill his own side of the the Contract.
✅ A party to a Contract communicates his intention not to fulfill his own side of the contract.
✅ A party appears unable to perform his own side of the Contract.
From the above, Emeka is clearly in breach of his agreement with Ibukun.
Remedies available to an aggrieved person in the event of a breach of contract.

Where the legal right of a person is violated, the Law will provide a remedy.
Yesterday we listened to the story of how Emeka failed to fulfill his part of his agreement with Ibukun.
