Pursuant to Memorandum Circular No. 25 series of 2019, all non-stock corporations are required to comply with the one-time submission of the Mandatory Disclosure Form (MDF). All non-stock corporations registered after the effectivity of Memorandum Circular No. 25 series of 2019 are required to submit the required information in the MDF, as may be applicable, within six (6) months from date of registration.
The MDF is required to be accomplished and submitted ONLINE.
The original online link, however, for accomplishing and submitting the Mandatory Disclosure Form can no longer be accessed due to a system update.
In view thereof, a new link has been created. For those Non-Stock Corporations who have not yet submitted the MDF, please fill out and submit the online Mandatory Disclosure Form (MDF) thru this updated link:

SUBMISSION OF REPORTS THROUGH THE ELECTRONIC FILING AND SUBMISSION TOOL
Effective April 1, 2022, all corporations (stock and non-stock) shall be required to submit their annual reportorial requirements through the Electronic Filing and Submission Tool (eFAST), previously called the Online Submission Tool. Reports that are not yet available in the eFAST shall be submitted to [email protected].
Over the counter submission through appointment and through mail shall no longer be accommodated.
All reports submitted online shall be accepted only upon approval of the enrollment in the eFAST.

New SEC Guidelines on the Establishment of Corporations with at least Two Incorporators

Pursuant to the enactment of Republic Act No. 11232, otherwise known as the Revised Corporation Code, the Securities and Exchange Commission (โSECโ) adopted SEC Memorandum Circular No. 16 dated 30 July 2019 (โGuidelinesโ) in order to expound the qualifications of persons, whether natural or juridical, seeking to form and organise a domestic corporation in the Philippines.
Implications for business in the Philippines
Unlike in the old Corporation Code where only natural persons can be incorporators, the Revised Corporation Code now allows natural persons, SEC-registered partnerships,[1] SEC-registered domestic corporations or association, foreign corporations, or a combination of any of the above, to establish a corporation.
The Guidelines aim to promote the efficient and proper implementation of this new provision by spelling out the qualification, documentary requirements, and other special rules that apply to at least two, but not more than 15, incorporators.[2] In turn, this would encourage more persons and entities to join the Philippine market, thereby creating a more robust business climate.

10 Basic Features of One Person Corporation (OPC) in the Philippines
With the passage of Revised Corporation Code in Philippines or Republic Act No. 11232 (RA No. 11232) sometime February 2019, One Corporations Corporation (OPC) in Philippines is conceptualized to provide an additional legal structure to facilitate ease of doing business in the Philippines at par with other countries and jurisdictions. Relatively, legal provisions on One Person Corporation Philippines are found in Chapter III of Title VIII of Republic Act No. 11232 and is being implemented by SEC Memorandum Circular No. 7 series of 2019 and going through these rules, features of the One Person Corporation in Philippines could be enumerated as follows:
1. Single Stockholder Corporation
2. Limited Liability Corporation
3. Identifiable as OPC on its name
4. Allowed to foreign investors but with exclusions
5. No minimum paid-up capitalization
6. Perpetual corporate term, in general
7. Single stockholder but not alone
8. Transferability of shares
9. Convertible to regular corporation and vice-versa

The Bureau of Internal Revenue (BIR) has recently issued Revenue Memorandum Circular (RMC) No. 127-2020 which suspends all audit and other field operations of the BIR effective December 15, 2020 to January 7, 2020.

The Bureau of Internal Revenue (BIR) has reported that it collected a total of P547.9 million in taxes fr0m January to September this year from 178 commercial establishments that were padlocked earlier for failing to either register or pay the correct amount of taxes.
In a report to Finance Secretary Carlos Dominguez III, the BIR said it has also filed 14 cases before the Court of Tax Appeals (CTA) in a bid to collect some P338 million in tax liabilities from various respondents.
Meanwhile, 72 complaints involving an estimated P3.4 billion in tax liabilities that the bureau has filed before the Department of Justice (DOJ) are now under preliminary investigation, BIR Deputy Commissioner Arnel Guballa reported during a recent DOF Executive Committee meeting.
Guballa said the operations conducted against the 178 padlocked establishments were pursuant to Revenue Memorandum Order (RMO) No. 3-2009, otherwise known as the Oplan Kandado Program.
