On August 20, 2024, Judge Ada E. Brown BLOCKED the Federal Trade Commission’s proposed ban on non-compete agreements (Non-Compete Rule), which was set to take effect on September 4, 2024.

Bottom line, the Non-Compete Rule will NOT be enforced for the time being as planned.

A Texas court “sets aside the Non-Compete Rule. Consequently, the Rule shall not be enforced or otherwise take effect on its effective date of September 4, 2024 or thereafter”.

Federal Judge Ada E. Brown of the Northern District of Texas issued her decision in the lawsuit brought against the Federal Trade Commission (“FTC”) to block the FTC’s rule that would have made most non-competes illegal. The basis of Judge Brown’s decision is that the FTC does not have the constitutional authority to make such a rule.

The FTC will still be able to review whether specific non-compete agreements are unfair to competition on a case-by-case basis, but largely, the effect of this ruling will be that non-competes remain a state issue to be determined by state judges under state law.

While the FTC does have the ability to appeal, and most certainly will, due to recent decisions of the Courts, including the US Supreme Court’s overturning of Chevron, it would seem likely that Judge Brown’s decision will eventually be upheld.

As for now, the rule is set aside, and businesses will still be able to utilize non-competes to protect their legitimate business interests.
