Real Estate Investors: Share This Post

How I set up a business structure for a travel nurse/entrepreneur? Note: this is a long post and I have my clients permission to use her as a case study.

Facts:
1. She’s a w2 employee 👩🏽‍⚕️
2. She owns 2 🏭🏭multi units that she rents out
3. She is a part owner on a home used for Airbnb 🏠
4. She owns a infusion business 💉
5. Her main home is in one of the multi units. 🏠

My goals:
1. Protect her assets from creditors & potential negative judgements against her. 🛡️
2. Create a tax shelter so her income is taxed at the most advantageous rate possible. 💸
3. Consolidate Tax Filings 🗂️
4. Set her up to look great to lenders 💰

1. I set up a holding company in Wyoming. I structured it as an S Corporation.

I used an S Corp because an S Corp is needed to pay yourself a w2 from your business which lowers your tax bill.

I put it In Wyoming because it is one of the few states that has what’s called a “charging order.” Which means if someone sues you as an individual,
Wyoming won’t allow them to take assets business in their state.

In Wyoming, none of your information can be disclosed. (They don’t even ask for your personal information when registering the business). Anonymity is 🔑

2. For each property she owns i set up a seperate LLC. 🗂️ and moved respective properties into the their new LLC.

While registering the businesses in her state, I made the owner of each LLC, the holding company.

I do this because we want the holding company to receive the profits made from this business and we also want to make sure that the income hits page 1 of her tax return. Why?

Because If she put these properties in her own name, she would have to show the income on form schedule E of the return and when she goes for funding, they will only count 75% of it. It’s smart to seperate the assets so if something happens at 1 home, the other homes are protected from liability.

3. I created a partnership owned by the holding company to manage the air bnb that she is a partner of. I did this so she won’t have to recognize all of the income and she can share the burden with her partner. 🤝

4. I amended her operating agreement for her infusion business and made the holding company the owner.

I did this so the profits will flow up to the holding company and protects it from any liability and is also a tax saving strategy since she will be a w2 employee of the holding company. Why?

You don’t want to pay self employment tax on all of your money. Pick a fair salary, and only pay self employment tax on that.

5. Through a lawyer partner that i have, i created operating agreements for each of the entities.

These explicitly say that the holding company is the main business and all of the companies are subsidiaries. This agreement also contains language that say that nothing can happen at the subsidiary level without approval from the owner.

The agreement for the partnership ensures each party knows their responsibilities, equity percentage, and exit strategy.

6. I set up business bank account for each LLC and the holding company. 🏦

7. I set up her up on payroll so that her businesses can pay her per her budget. 💴

8. I set up her bookkeeping software to keep track of her expenses and profits. 📊

This is the proper way to set up a holding company suitable for a buy and hold investor. The foundation of your business determines so much. Don’t mess it up. If you did mess it up, let’s fix it. If you have tax questions put them below or use the link i put in the comments.

- This business structure would work different for flippers
- Do not put your asset in a LLC if you plan to refinance in 6 months to a year.

I’m very proud of my tax class. Giving people another stream of income is very fufilling to me. We are on week 8 of the course where i set the tax jargin aside and teach the students how to set up their LLC’s and register with the respective states.

I’m trying to do a better job of sharing my story.

The part you don’t know is I was on dialysis waiting on a kidney transplant for 3 years. The treatments were draining, each one lasting 4 hours, 3 times a week. I used what very little energy i had left to go to classes for my masters degree and Uber on the to feed my my child. I was in a dark place fr.

The lessons i learned through this journey that changed my life are below.

#1. Health is everything. Please go to the doctor

#2. Everything you want in life is obtainable if you put actions towards your goals. Even very small actions.

#3. Be a little more selfish. Focus on your happiness and fulfillment before you try and help everybody else.

#4. Have a grateful spirit. Waking up is a blessing and everything else is extra. Instead of focusing on what you don’t have, focus on being grateful for what you do have and i believe you open yourself up to more.

#5. Focus on the people who love and support you. Wasting energy on attracting those who don’t is ultimately holding you back. You don’t have to deal with anyone who’s not rocking with you they you need them to be. This goes back to being a little bit more selfish.

I hope this inspires someone going through a hard times no matter how big or small. Again, go to the doctor. Asap. Please.

⚠️Positive Content Alert⚠️

The gentleman with no shirt is a hero. His name is Aaron Jones. While enjoying his workout he saw our stand and decided to roll over to ask us what we were about. After flipping through the pages of our Children’s Financial Activity book he decided to purchase 2 right there on the spot.

Now to the heroic part. Interesting enough, he told us that he didn’t have kids in his life and he wanted us to gift 2 books to the next two children we saw. Well here is the family we donated to.

These acts of kindness and servitude push our culture forward and this Black King deserves praise.

I would tag him but he doesn’t have social media. The next time your in Altanta on the belt line, hopefully you run into this man while he excercises and thank him!

How often does an average person get audited by the IRS?
The overall audit rate is extremely low, less than 1% of all tax returns get examined within a year.
What income gets audited the most? - Returns with extremely large deductions in relation to income are more likely to be audited. For example, if your tax return shows that you earn $25,000, you are more likely to be audited if you claim $20,000 in deductions than if you claim $2,000.
What increases chances of IRS audit? - Failing to report all your income is one of the easiest ways to increase your odds of getting audited. The IRS receives a copy of the tax forms you receive, including Forms 1099, W-2, K-1, and others and compares those amounts with the amounts you include on your tax return.

I, John Dwight Wolfe Sr. would like to welcome you to Madison’s Accounting and Tax Services. Please take the time to read a little about my journey to becoming an entrepreneur.

Reading that quote reminded me the reason I began this journey. At age 24, my Kobe year, a year many would say is a year of greatness. A year to manifest excellence. Finally, a year to be a master of my abilities. Instead, my life chose otherwise. I was sitting on a hospital bed as doctors came in the room and told me how my life as I imagined would never be the same. That I had kidney failure and if I didn’t take the next course of actions, I would die. It wasn’t a sugar-coated, “you may die,” it was a “you WILL die!" The doctors put me on dialysis three times a week for four hours which was physically and mentally exhausting plus on top of that, each day I would need to take a handful of medicine for the rest of my life. I was 24 years old, the youngest person in the room surrounded by elders in their fifties and over. I would constantly ask myself, WHY? WHY me? WHY did I deserve this? That was my life for two years feeling limited and incapable of being myself for the life I planned. Incapable of being the father I wanted to be. Not being able to enjoy the little moments. Playing with my daughter was a challenge as my body would physically shut down after treatments. Unable to go on vacation without the interruption of going to find a dialysis center. I would constantly pray and ask for guidance and ask for a grateful heart. I knew that I didn’t want kidney failure to be the only reason to give up on my life. I trusted God when he says that storms were temporary. I received a call in the wee hours of the morning that I need to get to the hospital because I would be receiving a kidney transplant! My heart was full of excitement, anxiety, and gratefulness. After that procedure, I knew this was God giving me a new beginning, and I was going to take full advantage.
