Don't get hit with outrageous non-compliance penalties due to new FINCEN Requirements. If you have an LLC or Corporation, read now:
Effective January 1, 2024 any domestic entity formed through a Secretary of State such as LLC’s, Corporations, LLP’s and LP’s must file a Beneficial Ownership Information Report (BOIR) under the Corporate Transparency Act (CTA). Likewise, any foreign entities must register as well.
The CTA is not a part of the tax code. Instead, it is a part of the Bank Secrecy Act, a set of federal laws that require record-keeping and report filing on certain types of financial transactions. Under the CTA, BOI reports will not be filed with the IRS, but with the Financial Crimes Enforcement Network (FinCEN), another agency of the Department of Treasury.
Failure to file a BOI report is $500 for each day that the violation continues. You may also be subject to criminal penalties of up to two years imprisonment and a fine of up to $10,000. Potential violations include willfully failing to file a beneficial ownership information report, willfully filing false beneficial ownership information, or willfully failing to correct or update previously reported beneficial ownership information.
