IFRS Foundation completes consolidation with Value Reporting Foundation
The IFRS Foundation has today announced the completion of the consolidation of the Value Reporting Foundation (VRF) into the IFRS Foundation. It follows the commitment made at COP26 to consolidate staff and resources of leading global sustainability disclosure initiatives to support the IFRS Foundation’s new International Sustainability Standards Board’s (ISSB) work to develop a comprehensive global baseline of sustainability disclosures for the capital markets.

The VRF’s SASB Standards serve as a key starting point for the development of the IFRS Sustainability Disclosure Standards, while the Integrated Reporting Framework provides connectivity between financial statements and sustainability-related financial disclosures.1

The consolidation delivers on market demand—including from companies, investors and regulators—for simplification of the sustainability disclosure landscape, and follows the consolidation of the Climate Disclosure Standards Board (CDSB) into the IFRS Foundation earlier this year.

The ISSB, which now governs the SASB Standards, is embedding the industry-based approach of the SASB Standards into its standard-setting process, as well as addressing the international applicability of the SASB Standards as a priority. The ISSB encourages companies and investors to continue to provide full support for, and use of, the SASB Standards.

The IFRS Foundation’s International Accounting Standards Board (IASB) and the ISSB now assume joint responsibility for the Integrated Reporting Framework and are working together to agree on how to build on and integrate the Integrated Reporting Framework into their standard-setting projects and requirements. The ISSB and IASB actively encourage continued adoption of the Integrated Reporting Framework to drive high-quality corporate reporting.

The IFRS Foundation is focused on continued market participation in the development of IFRS Sustainability Disclosure Standards, as well as on connectivity in the reporting required by the IASB and the ISSB. To foster this market engagement and to drive continued dialogue, Value Reporting Foundation advisory bodies, education, membership and licensing programmes and networks continue under the IFRS Foundation.

As previously announced, a number of VRF Board Directors will transition into advisor roles to observe IFRS Foundation Trustee meetings and to participate in a newly formed IFRS Foundation Transitional Advisory Group.

Erkki Liikanen, Chair of the IFRS Foundation Trustees, said:

I am delighted that the IFRS Foundation has finalised consolidation with the VRF. This consolidation follows the successful consolidation of the Climate Disclosure Standards Board in February. These consolidations help us to respond to the demand from stakeholders and deliver on the commitment we made at COP26—to harmonise the sustainability disclosure landscape and build on the work of existing reporting initiatives.
Richard Sexton and Robert K Steel, Co-Chairs of the Value Reporting Foundation Board, commented:

The Integrated Reporting Framework and SASB Standards were developed to meet market demand for effective reporting and management tools. Their adoption worldwide has enabled companies to voluntarily deliver comparable, consistent and reliable information for investors. Now, we look to a future under the IFRS Foundation where these tools can help deliver a global baseline for sustainability disclosure, connected to financial statements. We know the VRF team, as they take up new roles alongside colleagues in the IFRS Foundation, stand ready to meet this new challenge and deliver on this mission. We count on the ongoing support of our stakeholders globally to enable us to reach this goal.

This ISSB Update highlights preliminary decisions of the International Sustainability Standards Board (ISSB). Projects affected by these decisions can be found on the work plan. The ISSB’s final decisions on IFRS® Sustainability Disclosure Standards are formally balloted as set out in the IFRS Foundation’s Due Process Handbook.

The ISSB met on 20–21 July 2022 in Frankfurt.

Next step

The ISSB will discuss feedback from comment letters, survey responses, market engagement activities and other meetings with stakeholders at public meetings. The comment period for both exposure drafts ends on 29 July 2022.

Consultation on Agenda Priorities (Agenda Paper 1)

The ISSB met on 20 July 2022 to discuss its approach to preparing a request for information to consult the public on its agenda priorities. The request for information will inform the development of the ISSB’s two-year work plan.

The ISSB discussed:

its approach to developing the request for information, including steps already completed and expected next steps;

the strategic balance of the ISSB’s activities;

Items to be considered in development of Request for

Information (Agenda Paper 1A)

The ISSB discussed items to consider as it prepares a request for information to obtain stakeholder feedback on its agenda priorities.

The ISSB discussed a preliminary list of:

broadly defined topics;

industry-based requirements and the Sustainability Accounting Standards Board’s project portfolio; and

potential projects to be undertaken in coordination with the International Accounting Standards Board.

The ISSB was not asked to make any decisions.

Next step

The ISSB will review further research and consider additional feedback from stakeholders before deciding which projects to include in the request for information. The request for information is expected to be published in the second half of 2022.

On 22 June 2022, the IASB gave the permission to begin the balloting process for the publication of the Exposure Draft. The IASB expects to publish the Exposure Draft in September 2022 and it will remain open for public comment for 180 days.

Appointment of four new SMEIG members
The IFRS Foundation has appointed four new members to the SMEIG for a three-year term commencing 1 July 2022.

The new members of the SMEIG are:

Blaise Colyvas (South Africa)
Kwabena Situ (Ghana)
Danny Tan (Malaysia)
Hironori Okada (Japan)
The appointment of new members to the SMEIG from the Americas is still in progress and will be announced in the coming months. The IFRS Foundation continues to search candidates from the Americas, seeking to achieve the SMEIG’s objective of building a diverse, geographical and gender balanced group.

The IFRS Foundation Trustees have appointed Jeffrey Hales―SASB Standards Board Chair and Accounting Professor at University of Texas―and Michael Jantzi―VRF Board Director and Sustainalytics founder and former CEO―as members of the International Sustainability Standards Board (ISSB), effective July 2022. Their appointments make the ISSB quorate.

Dr Hales has served as Chair of the SASB Standards Board since 2018. He is also a professor of accounting at the University of Texas in Austin, US. His widely published research has focused on reporting standards, regulation and behavioral finance. He has previously served as an academic research fellow at the Financial Accounting Standards Board in the US and as a member of its Financial Accounting Standards Advisory Council. Dr Hales has also been a member of the Climate Disclosure Standard Board, now consolidated into the IFRS Foundation. He has a PhD in management from Cornell University in New York.

Mr Jantzi has 30 years experience in responsible investment and sustainable finance. He joins the ISSB from Morningstar, where he currently serves as Managing Director of ESG Strategy. He is the founder and former CEO of Sustainalytics, an ESG research and ratings firm that grew to global market prominence under Michael’s leadership and was subsequently acquired by Morningstar in 2020. In 1992, he founded Jantzi Research and led a multiple-company merger that formed Sustainalytics in 2009. He currently serves on the Board of Directors of the VRF and of the Principles for Responsible Investment. He is also a committee member of the Independent Review Committee on Standard Setting in Canada and is a board director of the MakeWay Foundation. Mr Jantzi holds a Master of international relations from Dalhousie University in Halifax, Canada.
