The Securities and Exchange Commission is extending the deadline for applications for amnesty for late and non-filing of annual reportorial requirements.

Eligible companies now have until 𝐉𝐔𝐍𝐄 πŸ‘πŸŽ to finish their amnesty applications. Moreover, applicants now have πŸ—πŸŽ πƒπ€π˜π’, instead of 45 days, from the date of payment to submit their latest due financial statements.

After the extended deadline of June 30, an updated scale of fines and penalties for the covered reportorial requirements shall be implemented.

WHY OPC? Why do you have to choose a one-person corporation (OPC) over a regular corporation with two or more persons for your business?

First, all aspects of the business operations of the OPC are decided by one person alone. He is the automatic president. He can be the treasurer too if he wants (if he is willing to put up the required bond). In short, there is faster/quick decision-making.

Second, OPC is a corporation so the principle of limited liability and the doctrine of separate corporate personality apply.

What is the principle of limited liability? This means that the stockholder who puts up the 100% of the OPC’s capital is liable only up to the extent of his invested capital. If the OPC becomes bankrupt or has debts, the stockholder is not required anymore to give additional capital to continue the business or to pay off the OPC’s debts.

What about the doctrine of separate corporate personality? This means that the law sees the OPC as a person with an identity separate from the stockholder who formed it (the OPC acts as if it is another/separate human being from its stockholder, only that it is not a real human being, because only the law gives birth to it through a process called legal fiction, not by an actual human mother). Therefore, any and all legitimate debts or losses incurred by the OPC are considered as OPC’s debts or losses alone, and not as personal debts of the stockholder forming it even if the latter was the one who transacted the said debts/losses in behalf of the OPC. Another way of saying it is that the personal assets of the stockholder will not be liable for the legal debts or losses of the OPCβ€”only the assets (cash & properties) of the OPC will answer for them--because again an OPC is considered by law as a separate person with legal status;

Third, there are no board of directors (BOD) to elect or maintain, no board meetings, no salaries/per diems to pay the BOD, no BOD signatures to secure for approval, no BOD to fight with. in short, OPC is low maintenance.

Fourth, as opposed to single proprietorship, again OPC enjoys limited liability. Where the personal assets of the proprietor in the single proprietorship business are liable for all his debts and losses, the OPC’s assets are separately liable for its legal all debts and losses, not the personal assets of the stockholder who puts up the 100% capital in it.

Fifth, with respect to taxes, single proprietorship is taxed in graduated rates from 20% to 35% whereas OPC is taxed at a fixed rate of 20%. Obviously, the higher income the business has like a single proprietorship, it will be taxed at a maximum rate of 35%, while if it is an OPC, it will be taxed at a steady rate of 20%.

When it comes to claims for costs and deductions to arrive at the taxable income, OPC gets an advantage too over a single proprietorship because OPC can both claim costs and deductions to subtract from sales while a single proprietorship can only claim deductions, not costs, to arrive at the taxable income.

To illustrate, if you use the 40% rate for Optional Standard Deduction (OSD) instead of the Itemized Deductions (ID) to arrive at your taxable income, for single proprietorship the basis of 40% OSD rate is the sales, while for OPC, the basis is gross income.

Assuming there is 10m sales for the single proprietorship and 10m sales for OPC, OSD for the former is 4m while OSD for the latter is also 4m, but then the former cannot claim costs to subtract from sales because a single proprietorship uses sales as basis to multiply the 40% OSD rate. Whereas the OPC, on the other hand, can deduct still costs from sales because the 40% OSD rate is applied to the gross income, not sales. To recap, using OSD, the single proprietorship can deduct OSD only to arrive at its taxable income while OPC can both deduct costs and OSD to arrive its taxable income. There is savings therefore if you use OPC and adopt OSD.
