SRZ partners Brian Miner and Benjamin Kozinn will speak at Law Institute’s “Acquiring or Selling the Privately Held Company 2023” program in San Francisco.

As chairperson of the program, Brian will deliver opening remarks and participate throughout the event, including leading the “Special Issues: Dealing with Financial Sponsors of Privately Held Companies” panel on May 17th, starting at 11:00am PT, during which he will discuss key issues that arise when s financial sponsor is the buyer or seller in a transaction.

He will also lead the “Analysis of Form of Acquisition Agreement” panel on May 18th, starting at 9:00am PT, discussing principal sections of form agreements from both the buyer’s and seller’s perspectives and exploring key considerations in sales transactions.

Ben will lead the “Structuring and Negotiating Earn-Outs” panel on May 18th, starting at 2:45p PT, during which he will examine key issues in structuring and negotiating earn-outs in transactions.

SRZ partner Philippe Benedict will lead a “Tax Planning for Hedge Funds” session at Practising Law Institute’s “Tax Planning for Domestic & Foreign Partnerships, LLCs, Joint Ventures & Other Strategic Alliances 2023” program on May 11th, starting at 12:30pm ET.

Philippe will provide tax planning guidance for managers and investors, examine Section 704(c) methods, and provide some operational considerations. He will also examine different hedge fund structures, including master-feeder and parallel funds and explain securities aggregation and stuffing allocations under Section 704(c).
